Terms of Service

Last updated: August 17, 2026

1. Agreement

These Terms of Service (“Terms”) govern access to Coinentry, a subscription software service that monitors public USDC/USDT transfers and posts corresponding journal entries to QuickBooks Online or Xero. By creating an account or using the service you agree to these Terms. If you use Coinentry on behalf of a firm, you represent that you have authority to bind that firm.

2. The service

Coinentry is middleware, not a bank, custodian, exchange, or certified public accounting firm. We read public blockchain activity for addresses you register and write balanced Debit/Credit journal entries using Chart of Accounts mappings you configure. Version 1.0 calculates the fair market value of USDC/USDT at the exact historical minute of the transfer using third-party pricing oracles. We do not initiate payments, sign transactions, or take possession of funds.

3. Acceptable use

You agree not to:

  • use Coinentry to conceal, launder, or otherwise process proceeds of unlawful activity;
  • register wallets you are not authorized to book into the connected ledger;
  • attempt to submit private keys, seed phrases, or signing material (the product will not accept them);
  • probe, overload, or circumvent authentication, tenant isolation, or Intuit/Xero rate limits;
  • resell unmodified API access or scrape another firm’s client data.

We may suspend or terminate accounts that violate these rules or that present legal, security, or Intuit/Xero compliance risk.

4. Blockchain gas and network conditions

Coinentry does not pay, estimate, or book blockchain gas. For inbound receipts the sender typically pays network fees; those fees are outside our ledger mapping. Gas prices, congestion, reorgs, dropped RPC messages, chain halts, and indexer lag are inherent to public networks and third-party providers (including Alchemy and TronGrid). Volatility in gas or native tokens (ETH, TRX, MATIC) does not impact the recorded historical fiat value of the stablecoin receipt, and Coinentry has no obligation to compensate you for missed, delayed, or duplicated chain events caused by those conditions.

5. Your responsibilities

You are responsible for selecting the correct wallets and ERP accounts, reviewing posted journals, reconnecting QuickBooks or Xero when tokens expire, and keeping your Intuit/Xero company file accurate. Journal entries inherit the Chart of Accounts mapping you saved. Mis-mapped revenue is not a Coinentry accounting opinion.

6. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS.” We do not warrant uninterrupted availability, complete capture of every on-chain transfer, or that ERP responses will always succeed. Intuit, Xero, Alchemy, TronGrid, and CoinGecko may change, rate-limit, or withdraw APIs without notice.

7. Limitation of financial liability

To the maximum extent permitted by law, Coinentry and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, tax penalties, audit findings, or restatement costs, even if advised of the possibility. We are not liable for amounts not received on-chain, for journals you later reverse in the ERP, or for third-party outages.

Our aggregate liability arising out of these Terms or the service is limited to the fees you paid to Coinentry for the three months preceding the claim. Nothing in these Terms excludes liability that cannot be limited under applicable law.

8. Privacy

Our collection and deletion practices are described in the Privacy Policy, including Intuit-required data-deletion instructions.

9. Changes

We may update these Terms by posting a revised date on this page. Continued use after the update constitutes acceptance. Material changes to Intuit data-handling will remain consistent with the published Privacy Policy.
